AegisRouter Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "User") and [COMPANY LEGAL NAME] ("AegisRouter", "we", "us"). They govern your use of the AegisRouter website, dashboard, APIs and webhook endpoints (together, the "Service"). By checking the acceptance boxes and clicking "I Agree", you confirm that you have read, understood and accepted these Terms. If you do not accept them, do not use the Service.

1. Nature of the Service: a data-translation software layer only

1.1 AegisRouter is solely a data-translation software layer. It receives messages that you configure in third-party software such as TradingView ("Signals"). It converts each Signal into the request format of a brokerage or exchange that you select ("Broker"). It then forwards the request to that Broker using credentials that you supply.

1.2 AegisRouter is not a broker, dealer, exchange, investment adviser, commodity trading adviser, portfolio manager, custodian or fiduciary. It does not:

  • hold or control your funds or assets;
  • recommend or evaluate any trade, strategy, instrument or Broker;
  • generate trading signals;
  • exercise discretion over any order.

1.3 Every order the Service forwards originates entirely from Signals that you designed, configured and caused to be sent. You are the sole originator and decision-maker for every order.

2. Provided "AS IS" and "AS AVAILABLE"

2.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES. THESE INCLUDE ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

2.2 No liability for third-party or infrastructure failures. We have no responsibility or liability for any loss caused, in whole or in part, by any of the following:

  • (a) latency, delay, duplication, alteration or non-delivery of webhooks or Signals by TradingView or any other third party;
  • (b) downtime, maintenance, rate limiting, rejection, partial fills, slippage, re-quotes, API changes or errors of any Broker;
  • (c) internet, DNS, network, cloud-provider (including Cloudflare and Supabase), power or telecommunications outages;
  • (d) market conditions, including volatility, gaps, halts, illiquidity and price limits;
  • (e) errors in Signals, strategies, alert configuration, symbols, quantities or credentials that you supply;
  • (f) the protective controls described in Section 4 operating as designed, including rejecting, delaying or dropping a Signal.

3. Assumption of risk and release

3.1 You acknowledge that trading securities, futures, foreign exchange, contracts for difference and digital assets carries a substantial risk of loss, which can exceed your deposits. Automated and algorithmic trading carries additional risks. These include software defects, runaway strategies, duplicate or missed executions, and execution at prices different from those your strategy expected.

3.2 YOU VOLUNTARILY ASSUME ALL SUCH RISKS. To the maximum extent permitted by law, you release, waive and forever discharge AegisRouter and its officers, directors, employees, contractors and affiliates. This release covers any and all claims, demands, losses and damages, known or unknown, arising from or relating to:

  • any order that was or was not placed, modified or cancelled through the Service;
  • any trading loss, lost profit or missed opportunity;
  • the financial consequences of your use of the Service.

4. Protective controls

To reduce the risk of stale or duplicated executions, the Service may reject Signals in any of these cases:

  • the Signal is older than a configured freshness window (default: 3,000 milliseconds);
  • the Signal repeats an already-processed alert identifier within 60 seconds;
  • the Signal exceeds rate or plan limits;
  • the Signal fails authentication, or comes from an address other than TradingView's published webhook IP addresses.

These controls are safeguards only. They are not a guarantee against loss. We may change them at any time.

5. Your credentials and responsibilities

5.1 You must supply Broker API credentials that allow trading only. The Service blocks credentials whose Broker reports withdrawal or transfer permission. Where a Broker offers no way to verify permissions, you must attest that the credentials cannot withdraw or transfer funds, and you are solely responsible for that attestation being accurate.

5.2 Broker credentials are encrypted with AES-256-GCM before storage. They are decrypted only in transient memory when an order is forwarded. You remain responsible for the security of your Broker accounts, your webhook URL and your authentication token. You must rotate them immediately if you suspect they have been compromised.

5.3 You are solely responsible for complying with your Broker's terms and with all laws that apply to your trading activity.

6. Limitation of liability

6.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISROUTER'S TOTAL CUMULATIVE LIABILITY for all claims arising from or relating to the Service or these Terms, whatever the theory of liability (contract, tort including negligence, strict liability or otherwise), SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU ACTUALLY PAID TO AEGISROUTER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Users on a free plan have paid no fees, so this amount is zero (USD 0).

6.2 IN NO EVENT SHALL AEGISROUTER BE LIABLE FOR ANY OF THE FOLLOWING, EVEN IF ADVISED OF THEIR POSSIBILITY:

  • trading losses;
  • lost profits, revenue or opportunity;
  • loss of data;
  • any indirect, incidental, special, consequential, exemplary or punitive damages.

6.3 Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the smallest amount the law permits.

7. Indemnification

You will indemnify and hold harmless AegisRouter against any claim, loss or expense, including reasonable legal fees, arising from your Signals, your trading, your breach of these Terms, or your violation of any law or third-party right.

8. Subscriptions and billing

Paid plans are billed in advance through Paddle, our merchant of record, and renew automatically until you cancel. Fees are non-refundable except where the law requires otherwise. Plan limits, such as the monthly execution count, are enforced automatically.

9. Data retention

Execution logs record status, error code, broker, ticker, side and latency. They contain no credentials and no raw Signal content, and they are shown for 90 days, kept in an access-limited archive for 3 years, and then permanently deleted. See the Data Retention Notice.

10. Suspension and termination

We may suspend or terminate access at any time, including to protect the Service or other users. You may stop using the Service at any time and may delete your broker profiles from the dashboard.

11. Changes

We may update these Terms. Material changes require renewed acceptance before you can add credentials or continue routing Signals.

12. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. Disputes will be resolved [by binding individual arbitration in [VENUE] / in the courts of [VENUE]]. Class actions and jury trials are waived to the extent permitted by law.

13. Miscellaneous

These Terms, the Risk Disclosure and the Data Retention Notice are the entire agreement between you and AegisRouter. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it.
